    Election of Board members

    Robert Maersk Uggla, Marika Fredriksson, Allan Thygesen, Thomas Lindegaard Madsen and Julija Voitiekute were proposed for re-election by the Board and were subsequently re-elected by shareholders.

    Share capital decrease

    Shareholders approved the Board’s proposal to reduce the company’s share capital, following Maersk’s previously announced share buyback programmes from February and August 2025.

    The decrease of DKK 1,133,114,000 was completed through the cancellation of repurchased A and B shares. As a result, the total share capital was updated to DKK 14,695,828,000, and article 2.1 of the Articles of Association was amended accordingly.

    Summary of proposals considered at the AGM

    Individual shareholders put forward several proposals, including ones relating to ESG integration in executive remuneration, enhanced disclosure of human rights due diligence processes, and a request to halt shipments of military equipment.

    The Board noted that Maersk already follows established regulatory standards and internal policies in these areas and therefore did not support the proposals. None of the proposals were approved by the AGM.

    Other formal agenda items

    The AGM agenda also included several formal items for decision:

    • The audited Annual Report for 2025 was submitted and adopted.
    • Discharge was granted to the Board of Directors and the Executive Management
    • A dividend of DKK 480 per share of DKK 1,000 was approved
    • The Remuneration Report was presented and approved
    • In accordance with the Audit Committee’s recommendation, PricewaterhouseCoopers Statsautoriseret Revisionspartnerselskab was reelected as auditor for both statutory financial and sustainability reporting
